These Terms of Service (these "Terms") govern your access to and use of the website at robomart.ai (the "Site") and the partner-facing services Robomart makes available, including the Robomart Connect API and SDK, the Robomart Dashboard, the Robomart Relay application, and the Robomart Partner portal (collectively, with the Site, the "Platform"), each provided by Robomart Inc. ("Robomart," "we," or "us"). By accessing or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
Robomart is a business-to-business service. If you use the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" and "Partner" refer to that entity.
1. What Robomart Is
Robomart provides autonomous delivery infrastructure. We design, own, and operate the RM5, a Level 4 autonomous electric delivery vehicle with individually secured lockers. Merchants, platforms, and enterprises ("Partners") use the Platform to quote, book, and track deliveries carried by the Robomart fleet. Consumers do not transact with Robomart: they order from a Partner, and recipients receive a one-time code to unlock their locker at delivery.
Robomart is not a retailer, restaurant, or marketplace. We do not set the prices of, take title to, prepare, package, inspect, or handle the goods our Partners place into the vehicles. Partners load lockers themselves through their own staff using the Relay application.
2. Master Services Agreement
Commercial deployments — including pilots, Reserved Capacity contracts, dedicated vehicles, and service-level commitments — are governed by a separately executed Master Services Agreement and associated order forms (collectively, the "MSA") covering service scope, pricing, liability allocation, data protection, and compliance responsibilities. If there is a conflict between these Terms and an MSA, the MSA controls for the services it covers. These Terms govern use of the Site and Platform surfaces that the MSA does not address.
3. Responsibility Allocation
Robomart is responsible for the RM5 vehicle, its autonomy systems, its movement, and its safe operation on approved routes within mapped zones, including fleet monitoring and remote oversight.
The Partner is responsible for the goods it places into the vehicle, including their legality, quality, condition, packaging, labeling, temperature requirements at loading, and compliance with all laws that apply to the Partner's business (including food-safety, alcohol, pharmacy, and consumer-protection laws). Because the Platform is fully autonomous with no human handling by Robomart, Robomart does not inspect locker contents and assumes no responsibility for them.
Partners must not tender anything unlawful or dangerous for carriage, including hazardous materials, weapons, illegal substances, currency, live animals, or people.
4. Accounts and API Credentials
Access to the Dashboard, Relay, and the Connect API requires an account. You must be at least eighteen (18) years old and using the Platform for business purposes. You agree that registration information is accurate and kept current. You are responsible for all activity under your accounts and API keys, must keep credentials confidential, and must notify us promptly at contact@robomart.ai if you believe an account or key is compromised. We may suspend credentials that we reasonably believe are compromised or abused.
5. License and Acceptable Use
Subject to these Terms (and your MSA, where applicable), Robomart grants you a limited, non-exclusive, non-transferable, revocable license to use the Platform, including the Connect API and SDK, solely to integrate and use Robomart delivery services for your business. You may not: (a) reverse engineer, copy, or create derivative works of the Platform except as permitted by law; (b) resell, sublicense, or white-label the Platform except as expressly agreed in an MSA; (c) use automated means to scrape or extract data outside documented APIs; (d) probe, disrupt, or overload the Platform or interfere with vehicle operations; (e) misuse unlock codes or attempt to access lockers or deliveries that are not yours; or (f) use the Platform in violation of applicable law.
6. Fees and Payment
On-demand deliveries are billed per delivery against prepaid credits funded through the Dashboard; rates are displayed before booking. Reserved Capacity, pilots, and dedicated-vehicle programs are priced under the applicable MSA and invoiced on its terms. Except as expressly stated in these Terms or an MSA, fees are non-refundable. You are responsible for applicable taxes other than taxes on Robomart's income. We may suspend service for delinquent accounts after notice.
Consumers never pay Robomart directly. How a Partner prices delivery to its own customers is the Partner's decision alone.
7. Partner Data and Feedback
As between the parties, the Partner owns the data it submits to the Platform, including order and recipient information. Partner grants Robomart a license to process that data to provide, secure, and improve the services, consistent with our Privacy Policy and any data-protection terms in the MSA. Robomart owns the Platform, the vehicles, and all operational and telemetry data generated by the fleet. If you send us feedback, we may use it without restriction or obligation.
8. Intellectual Property
The Platform, the RM5, and all associated software, documentation, designs, and trademarks are the property of Robomart or its licensors. No rights are granted except as expressly set out in these Terms or an MSA. You may not use the Robomart name, marks, or vehicle imagery without our prior written consent, except to state truthfully that you use Robomart delivery services.
9. Disclaimers
EXCEPT AS EXPRESSLY PROVIDED IN AN MSA, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WITHOUT LIMITING SECTION 3, ROBOMART DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, SPECIFIC DELIVERY TIMES OUTSIDE CONTRACTED SERVICE LEVELS, OR THE CONDITION OF GOODS TENDERED BY PARTNERS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM OR RELATED TO THE PLATFORM. EXCEPT FOR A PARTY'S INDEMNIFICATION OBLIGATIONS OR BREACH OF SECTION 5, EACH PARTY'S TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE AMOUNTS PAID OR PAYABLE BY PARTNER TO ROBOMART IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS (US$100) FOR USE OF THE SITE WITHOUT A PAID ACCOUNT. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.
11. Indemnification
Partner will defend and indemnify Robomart against third-party claims arising from the goods Partner tenders for delivery, Partner's products and services, Partner's violation of law, or Partner's breach of these Terms. Robomart will defend and indemnify Partner against third-party claims that the operation of the RM5 vehicle by Robomart caused bodily injury or property damage, or that the Platform as provided by Robomart infringes a third party's intellectual-property rights. Indemnification under an MSA is governed by the MSA.
12. Suspension and Termination
You may stop using the Platform at any time; MSA commitments survive per their terms. We may suspend or terminate Platform access for material breach of these Terms, for security reasons, or where required by law, with notice where practicable. Sections 3 and 7 through 14 survive termination.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Except where an MSA provides otherwise, the state and federal courts located in Los Angeles County, California will have exclusive jurisdiction over disputes arising out of these Terms, and each party consents to personal jurisdiction and venue there. Each party waives any right to a jury trial to the extent permitted by law.
14. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date above reflects the current version, and material changes will be posted on the Site or notified to account holders. Continued use of the Platform after changes take effect constitutes acceptance. Changes do not modify an executed MSA.
